1. Acceptance of Terms

By accessing or using Move Club—the virtual walking club feature within the Reaction Club platform—you agree to these Terms & Conditions of Use (the "Terms"). Move Club is operated by Reaction Wellness Ltd. ("we," "us," or "our"). If you do not agree with any part of these Terms, please do not use the Service.

Your use of Move Club is also governed by Reaction Club's General Terms of Use and our Privacy Policy, both of which are incorporated herein by reference.

2. Description of the Service

2.1 Core Features

Move Club offers:

• Daily walking goals and tailored coaching tips.
• Live virtual training sessions scheduled from time to time.
• An in-app social feed where you can post achievements, photos, and motivational content ("User Content").

2.2 No Physical Goods

All Move Club functionality is digital. We do not sell or deliver physical products; subscriptions, points, and rewards are managed entirely within the Service.

3. Eligibility & Registration

3.1 Age Requirement

You must be at least 18 years old to participate. By registering, you confirm you meet this age requirement.

3.2 Account Creation

To use Move Club, you must have a Reaction Club account. You agree to:

• Provide accurate and complete registration information;
• Maintain the security of your login credentials; and
• Notify us immediately of any unauthorized use of your account.

5. Subscriptions & Trials

5.1 Subscription Plans

Move Club subscriptions are offered in weekly, monthly, quarterly (3‑month), and annual billing intervals. Plans, pricing, and billing intervals are presented at checkout on our website.

5.2 Trial Offers

From time to time we may offer free or discounted trials (e.g., 7‑day paid trial, 14‑day free trial, or other promotional trials). All trial terms—including duration, pricing, and any promotional conditions—are clearly disclosed at signup.

5.3 Automatic Conversion & Renewal

Unless you cancel before your trial ends, your trial will automatically convert into a paid subscription at the then‑current plan rate. Thereafter, your subscription will automatically renew at the same interval and price (unless we notify you of a change) until canceled.

5.4 Promotional Pricing

Any introductory or promotional pricing applies only to the initial term as stated. After the promotional period, regular pricing automatically applies. We may from time to time change subscription fees; we will notify you of any material price change at least 14 days before it takes effect.

6. Payment & Billing

6.1 Payment Methods

You may pay using credit or debit cards, Apple Pay, Google Pay, or other processors made available on our website.

6.2 Authorization

By subscribing, you authorize Reaction Wellness Ltd. to charge your chosen payment method for all subscription fees and applicable taxes in advance of each billing cycle.

6.3 Billing in Advance

Subscription fees are billed in full at the start of each billing period. Unless you cancel before the next renewal date, you remain responsible for all charges until cancellation takes effect.

7. Cancellation & Refund Policy

7.1 How to Cancel

You may cancel your subscription at any time by submitting the Cancellation Form.

7.2 Timing of Cancellation

To avoid being charged for the next period, you must cancel at least 24 hours before the end of your current trial or paid subscription term.

7.3 Effect of Cancellation

Once canceled, you retain access to Move Club through the end of your current billing period. Thereafter, your subscription expires and your access to subscriber‑only content is revoked.

7.4 No Pro‑Rata Refunds

Except where required by applicable law, we do not issue refunds or credits for partially used subscription periods. Deleting the Reaction Club app alone does not cancel your subscription—you must follow the cancellation procedures above.

8. Points & Rewards

8.1 Earning Points

You earn points by achieving daily walking goals, participating in in‑app challenges, and other activities as defined within the Service. Point‑earning rules and thresholds are published in the app.

8.2 Redemption

Points may be redeemed for third‑party gift cards or charitable donations ("Rewards"). Redemption options, point costs, and delivery timelines are displayed in the Rewards section.

8.3 Monthly Limit

You may redeem a maximum of one Reward (gift card or donation) per calendar month.

8.4 Fair Use & Fraud Prevention

If we determine—even in our sole discretion—that points have been earned unfairly (e.g., by automation, tampering, or other abuse), we may:

• Withhold fulfillment of the Reward;
• Revoke the points in question; and/or
• Suspend or terminate your account.

8.5 Third‑Party Fulfillment

Rewards are provided by third‑party vendors. If a selected Reward cannot be delivered, we will either:

• Offer you an alternative Reward of equal value; or
• Refund the points for that Reward back to your account.

9. User‑Generated Content

9.1 Your Content

Any text, images, photos, or other material you post in the Service ("User Content") remain your property.

9.2 License Grant

By posting User Content, you grant Reaction Wellness Ltd. a perpetual, worldwide, royalty‑free, non‑exclusive license to use, reproduce, modify, display, distribute, and create derivative works of your content in connection with operating and promoting Move Club.

9.3 Representations

You represent and warrant that:

• You own all rights in your User Content or have obtained all necessary permissions;
• Your User Content does not infringe any third‑party rights or violate any laws; and
• You consent to our use of your User Content as described above.

9.4 Removal Rights

We reserve the right to remove or refuse to display any User Content that, in our judgment, violates these Terms or is otherwise objectionable.

10. Prohibited Conduct

You agree not to:

• Use bots, scrapers, emulators, or any automated means to access, monitor, or interact with the Service;
• Submit fraudulent, inaccurate, or manipulated activity or step data;
• Post content that is unlawful, defamatory, obscene, harassing, or infringes third‑party rights;
• Reverse‑engineer, decompile, disassemble, or tamper with the Service or its code;
• Attempt to circumvent any security or usage restrictions;
• Use the Service in a way that harms our reputation, other users, or our business;
• Engage in any unauthorized commercial use or redistribution of Service content.

11. Intellectual Property

11.1 Our Rights

All trademarks, logos, trade dress, and proprietary content in Move Club (excluding User Content) are owned by Reaction Wellness Ltd. or its licensors.

11.2 Limited License

Subject to these Terms, we grant you a non‑exclusive, non‑transferable, revocable license to access and use the Service solely for your personal, non‑commercial purposes.

11.3 Reservation of Rights

All rights not expressly granted are reserved.

12. Disclaimers & Limitation of Liability

12.1 "AS IS" Service

To the fullest extent permitted by law, Move Club is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

12.2 No Guarantee of Results

We make no representations or warranties regarding your ability to achieve any specific fitness or health outcomes.

12.3 Limitation of Liability

Under no circumstances will Reaction Wellness Ltd. or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of—or inability to use—the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims related to the Service shall not exceed the total subscription fees you paid in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Reaction Wellness Ltd., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms; or
• Your infringement of any third-party rights.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Israel, without regard to conflict‑of‑laws principles.

14.2 Arbitration Agreement

Except for disputes you may bring in small claims court, you and Reaction Wellness Ltd. agree to resolve all disputes by binding arbitration under the rules of the Tel Aviv Regional Centre for Arbitration. The arbitration will take place in Tel Aviv, Israel, in English.

14.3 Class Action Waiver & Opt‑Out

You and we each waive any right to participate in a class, collective, or representative action. To opt out of arbitration, you must send a written notice to hello@reaction-club.com within thirty (30) days of your first use of the Service.

15. Modifications to Terms

We may revise these Terms from time to time. Substantive changes (affecting your rights or fees) will be notified via email or in‑app notice at least fourteen (14) days before they take effect. Other changes become effective upon posting. Continued use of the Service after changes constitutes acceptance.
